Terms and Conditions

These PSA Data License Terms (these “Terms”), together with the applicable Order Form (together, this “Agreement”), are entered into between the customer named in the Order Form (“you”) and Collectors Universe, Inc. (“Company”) as of the effective date stated in the Order Form (the “Effective Date”). This Agreement applies to all use of Data (as defined in this Agreement) by you from the Company’s Websites (as defined below). By signing or electronically accepting an Order Form that references these Terms, or by accessing or using the Data, you agree to be immediately bound by the terms and conditions hereof.

  1. Certain Definitions. For purposes of this Agreement, the terms in quotations below shall have the described meaning: “Data” means all coin, card, ticket, pack, or other collectible population data, price guide data, and all information and data in, on or available through the PSA API on the Websites, including all API responses, outputs, metadata, schemas, identifiers, images, classifications, specifications, population reports, price guide information, valuation-related information, documentation, updates, corrections, replacements, and other information made available by or on behalf of Company, whether accessed through an API, feed, file, endpoint, portal, dashboard, website, download, export, or other delivery method. “Derived Data” means any data, dataset, database, compilation, calculation, model, embedding, output, index, score, benchmark, valuation, classification, prediction, inference, analysis, or other information created, generated, trained, inferred, extracted, calculated, or derived from or using the Data, whether alone or in combination with other information. “Order Form” means the order form, signed or electronically accepted by you and Company (which acceptance may be given by countersignature, confirmation through Company’s portal, or provisioning of your API credentials, and which Company may decline, or correct for obvious pricing or typographical errors, before provisioning), that references these Terms and sets forth your name and contact information, the Effective Date, the Term, the Call Limit, the Fees, and the Permitted Display terms applicable to you. “Permitted Display” means (a) supporting sales of trading cards (whether through physical, retail or e-commerce) or marketplace and auction offerings, (b) displaying statuses of submitted orders with the Company, or (c) another limited, item-specific display of Company specification and population details to your customers solely as set forth in the applicable Order Form. If an Order Form includes a negotiated Permitted Display definition (a “Custom Permitted Display”) completed by Company, the Custom Permitted Display replaces this definition in its entirety for purposes of that Order Form. A Custom Permitted Display controls over Section 4(b) and Section 5 only to the extent it expressly permits the specific use in question, and does not modify any other provision of these Terms unless set forth in a written amendment signed by an authorized officer of Company. “Websites” means, collectively, PCGS.com, PSAcard.com, and all websites, APIs, endpoints, feeds, files, portals, dashboards, databases, sandboxes, documentation, systems, and other delivery methods made available by or on behalf of Company through which the Data is accessed, delivered, displayed, or made available.
  2. License. Provided you are at all times in full compliance with this Agreement, Company grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to access and use the Data, strictly in accordance with the terms of this Agreement, solely to make Permitted Displays during the Term. No rights are granted by implication, estoppel, exhaustion, or otherwise, and all rights not expressly granted to you are reserved by Company.
  3. Fees. You shall pay Company the fees stated in the Order Form (the “Fees”) in consideration for the license provided under this Agreement, in the amounts and on the invoicing schedule (annual or quarterly) stated in the Order Form. Unless the Order Form states otherwise, the initial payment is due within 10 days after the Effective Date and, if the Order Form provides for quarterly invoicing, each later installment is due within 10 days after each 3-month anniversary of the Effective Date during the Term (as defined below). Fees for any increase in the Call Limit (as defined below) are as stated in the applicable new or amended Order Form. All payments shall be made in strict accordance with payment instructions sent by Company from time to time, and failure to adhere to such instructions or any payment errors made by you shall be at your risk. Failure to pay any portion of the Fees on time shall be considered a material breach of this Agreement. Any late payments shall bear interest at a rate of 1.5% per month or the maximum amount permissible under applicable law, whichever is lower. Fees are exclusive of all sales, use, value-added, withholding, and similar taxes, which you are responsible for paying (other than taxes on Company’s net income). Fees are non-cancellable and, except as provided in Section 10 and Section 11, non-refundable.
  4. Restrictions. a. You agree not to, and you will not permit others, including, without limitation, your affiliates, employees, contractors, or customers (collectively, “Counterparty Persons”), to: i. use the Data for any unlawful, fraudulent, or malicious purposes; ii. manipulate the price of any item or interfere with any other user’s listings; iii. interfere with or attempt to disrupt the operation of the Data or Company’s services (the “Services”), including, without limitation, any act that could disrupt, damage, disable, overburden, or impair the systems, servers, or networks used to make the Data or Services available; or violate any requirements, procedures, policies or regulations of such networks; iv. circumvent or attempt to circumvent any security or authentication measures implemented by us or on our behalf; v. modify, adapt, translate, or reverse engineer any portion of the Services or Data; vi. attempt to gain unauthorized access to any accounts, features, systems, or networks through hacking, password mining, or any other means; vii. use Services or Data for advertisements, chain letters, spamming, junk mail, solicitations, or any other commercial purposes, without Company’s express prior written consent; viii. frame or mirror any portion or feature of the Services or Data, or commercialize any Company application or any data associated with such application; ix. use any “deep-link”, “page-scrape”, “robot”, “spider”, or other automatic device, program, algorithm, or methodology, or any similar or equivalent manual process, to: (1) retrieve, scrape, access, acquire, copy, or monitor any portion of the Services or Data; (2) reproduce or circumvent the navigational structure or presentation of the Services or Data; or (3) data mine, obtain, or attempt to obtain any materials, documents, or information through any means not purposely made available through the Services; x. transmit any viruses, worms, defects, Trojan horses, time bombs, cancel-bots, corrupted files, or other items of a destructive nature; xi. forge headers or otherwise manipulate identifiers; xii. use the Data or any Derived Data in or with any prompt, prompt response, context window, retrieval-augmented generation system, vector database, embedding, model weight, training example, synthetic dataset, model output, automated decision system, or other AI or machine learning input or output; or xiii. post, transmit, submit, or include any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit, profane, hateful, racially, ethnically, or otherwise objectionable content, material, or information of any kind, or any content, material, or information that may give rise to criminal or civil liability; and/or violate, infringe, or misappropriate the intellectual property, publicity, privacy, or other proprietary rights of Company, its affiliates, or any other person or entity. b. Without limiting the foregoing, and except to the extent any of following is a Permitted Display, no Counterparty Person may: i. sell, rent, lease, license, sublicense, assign, distribute, transmit, host, outsource, syndicate, publish, disclose, display, or otherwise make the Data available to any third party; ii. use the Data or Derived Data to create, improve, validate, or commercialize any dataset, database, model, score, benchmark, index, valuation, estimate, lookup table, mapping, classification, inference, or other output that could reasonably reduce demand for, substitute for, or compete with Company’s Data, products, services, or analytics; iii. use the Data or any Derived Data to develop, train, fine-tune, validate, test, benchmark, improve, populate, seed, ground, augment, or otherwise support any product, service, dataset, database, model, algorithm, software, artificial intelligence system, machine learning model, large language model, neural network, pricing tool, valuation tool, grading tool, authentication tool, population tool, search product, recommendation engine, analytics product, or other offering; iv. create, commercialize, disclose, distribute, retain, or use any Derived Data except solely as transient output displayed as part of a Permitted Display, and only to the extent such output does not reveal, reconstruct, substitute for, or enable use of the Data; v. ingest, upload, copy, sync, replicate, commingle, or store the Data in any database, data warehouse, data lake, vector database, analytics environment, business intelligence tool, CRM, product catalog, search index, model-training environment, or other system, except for transient technical processing strictly necessary to make a Permitted Display; vi. publish, distribute, display, or otherwise make available the Data or any material portion of the Data in any single, bulk, aggregated, compiled, searchable, downloadable, exportable, or machine-readable format, whether for profit or otherwise; vii. make available any product, service, feature, interface, output, or functionality that, alone or through repeated queries, prompts, calls, exports, screenshots, scraping, caching, or other use, could reasonably function as a substitute for access to the Data or enable any person to reconstruct, approximate, extract, scrape, harvest, or compile the Data; viii. store, cache, retain, screenshot, download, export, archive, or otherwise preserve the Data except for transient technical copies strictly necessary to make a Permitted Display; or ix. use the Data or any Derived Data for competitive benchmarking, competitive analysis, market intelligence, product development, business planning, model development, or any purpose other than the limited permitted use expressly set forth in Section 5.
  5. Permitted Uses. You may use the Data solely to make Permitted Displays, and for no other purpose. You may not use the Data as, or as an input to, any standalone product, dataset, database, catalog, valuation or pricing tool, model, algorithm, search product, analytics product, benchmarking product, population product, authentication product, grading product, or other offering, except to the extent that any of the foregoing is a Permitted Display. You may not display, distribute, disclose, store, cache, retain, or otherwise use the Data except as strictly necessary to make a Permitted Display. If you have actual belief or suspicion that any customer, user, vendor, contractor, affiliate, or other person is using or accessing the Data in violation of this Agreement, you must immediately notify Company and immediately suspend such person’s access to the Data. You may not provide, disclose, transfer, or make the Data available to any affiliate, vendor, subcontractor, consultant, AI provider, analytics provider, cloud service provider, developer, contractor, or other third party without Company’s prior written consent. Any Company-approved third party must be bound by written restrictions at least as protective as this Agreement, and you remain fully responsible for all acts and omissions of such third party. The restrictions and limitations in this Agreement are cumulative. To the extent any restriction in Section 4, the permitted-use limitations in Section 5, or the confidentiality obligations in Section 17 overlap, each applies independently and the most protective restriction controls, except as provided in the definition of “Permitted Display” for a Custom Permitted Display.
  6. Users. Company is granting you, the API user, a limited license to use the Data as set forth herein. All users must complete an enrollment form (which may be the Order Form) sharing information regarding the user type, how they intend to use the Data, and other information as requested by us. You will reasonably cooperate with Company, at Company’s written request, to explain in reasonable detail how you access, process, display, store, secure, and control the Data, including the systems, vendors, personnel, and use cases involved. You may not materially change your use case, systems, vendors, or method of accessing, processing, displaying, or securing the Data without Company’s prior written consent. You shall not create multiple profiles, including separate logins and/or “alias” accounts created through email providers such as Gmail. If Company suspects that users are creating multiple accounts to circumvent the terms of the Agreement, we reserve the right to terminate access for you and all related users. You acknowledge and agree that the Data is provided under license, and not sold, to you. You do not acquire any ownership interest in the Data under this Agreement, or any other rights thereto other than to use the Data in accordance with the limited license granted, and subject to all terms, conditions, and restrictions, under this Agreement. Company reserves and shall retain its entire right, title, and interest in and to the Data, including all copyrights, trademarks, and other intellectual property rights therein or relating thereto, except as expressly granted to you in the Agreement.
  7. Access limits. You will be subject to a maximum of the number of calls of the Data per day stated in the Order Form (the “Call Limit”) during the Term (as defined below), subject to the terms of this Agreement. A day is a calendar day in Pacific Time, and Company may throttle or reject calls above the Call Limit. If you desire to go above the Call Limit, you must notify the Company, and a mutually agreed amendment to this Agreement or a new or amended Order Form must be signed or electronically accepted for such increase in the Call Limit to go into effect, and Company has no obligation to agree to any increase. Notwithstanding the foregoing, You acknowledge that you and your users may be subject to limitations or restrictions on your ability to make calls simultaneously (e.g., multiple calls per second), which limitations or restrictions may be communicated by Company to you from time to time. You acknowledge that when you access or use the Data, Company may use automatic means (including, for example, server logs and API credentials) to collect information about you and your use of the Data. You also may be required to provide certain information about yourself as a condition to accessing or using the Data or certain of its features or functionality. All information we collect through or in connection with this Data is subject to our Privacy Policy available at https://app.collectors.com/privacypolicy (the “Privacy Policy”). By accessing and using the Data, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy. You shall implement and maintain technical, administrative, and security controls designed to prevent unauthorized access, scraping, extraction, caching, retention, bulk download, reconstruction, AI or machine learning use, and other misuse of the Data. You shall maintain complete and accurate logs of all API calls, users, systems, displays, downstream access, errors, and attempted access involving the Data (but not the content of the Data itself) for at least two (2) years and provide such logs to Company upon request. Company may monitor, throttle, limit, suspend, or block any access pattern that Company reasonably believes may violate this Agreement or threaten the integrity, security, availability, or value of the Data or Services.
  8. Audit. During the Term and for one (1) year thereafter, Company may, upon reasonable prior notice and no more than twice per twelve (12)-month period, audit, or engage a third party to audit, your access to, use of, storage of, and compliance with this Agreement with respect to the Data. The foregoing frequency limitation does not apply if Company reasonably suspects unauthorized access, use, retention, disclosure, scraping, extraction, reconstruction, AI or machine learning use, competitive use, excessive API activity, or other breach of this Agreement. You shall reasonably cooperate with any such audit and provide Company reasonable access to relevant systems, records, logs, vendors, technical controls, data flows, and personnel. If an audit reveals any unauthorized use, retention, or disclosure of the Data, then, without limiting Company's other remedies, you shall bear the reasonable costs of the audit and immediately remediate the non-compliance.
  9. Data Credits. To the extent we expressly permit you in writing to utilize, reference or publish the Data, or any part or portion of the Data in any form (including, but not limited to, online catalogs, print catalogs, webpages, and marketing materials), you must (a) on each page of the digital media on which you utilize the Data, provide a live and active link back to the Data source (e.g., the applicable Company Website); and (b) on each page of the media on which you utilize the Data, reference Company as the Data source by, in at least 10-point type conspicuously located on each page of your media, state that “the Data is obtained from and is subject to a license agreement with Collectors Universe, Inc. and its divisions PCGS and PSA.” For clarity, this Section 9 does not grant any right to publish, distribute, display, or use the Data except as expressly permitted under Section 5.
  10. Modifications to Data. Company reserves the right to modify, suspend or discontinue, temporarily or permanently, the Data or any service to which it connects, with or without notice and without liability to you, except that if Company permanently discontinues the Data in its entirety during the Term, Company will refund prepaid Fees for the remaining Term on a pro rata basis, which is your sole remedy.
  11. Term and Termination. This Agreement shall remain in effect for the term stated in the Order Form (or, if the Order Form states no term, until the one (1)-year anniversary of the Effective Date), unless terminated prior to such time in accordance with the terms of this Agreement (the “Term”). Any extension or renewal of the Term requires a new or amended Order Form signed or electronically accepted by both parties. Company may terminate this Agreement at any time for any reason, provided that the Company return any pro rata portion of Fees already paid by you to Company. Company may immediately suspend, throttle, restrict, or block your access to the Data, with or without notice and without refund, if Company reasonably believes that you or any user has breached this Agreement, exceeded applicable limits, attempted unauthorized access, retained Data improperly, used the Data for AI or machine learning purposes, used the Data for competitive purposes, or used the Data in a manner that may harm Company, its affiliates, the Data, the Services, or the integrity of Company’s products, services, customers, or markets. Suspension will not limit Company’s other rights or remedies. Upon any expiration or termination of this Agreement, you shall immediately cease all use of the Data and, within five (5) business days, permanently delete and destroy all copies of the Data and Derived Data in your possession or control, including any copies stored in backups, logs, caches, databases, data warehouses, data lakes, analytics tools, search indexes, vector databases, AI systems, machine learning systems, vendor systems, and other systems or repositories (other than the API call logs required by Section 7, which must not contain the content of the Data and which you shall retain for the period stated in Section 7), except to the extent Company expressly approves a limited written wind-down period. Upon Company's written request, you shall certify such deletion in writing signed by an authorized officer. The following shall survive any expiration or termination of this Agreement: Section 3 (Fees) (as to amounts accrued or owed); Section 4 (Restrictions); Section 5 (Permitted Uses); Section 6 (Users); Section 7 (Access limits) (as to logging and security controls); Section 8 (Audit); Section 9 (Data Credits); Section 11 (Term and Termination); Section 12 (Indemnification); Section 13 (Equitable Relief); Section 15 (Governing Law, Jurisdiction and Venue); Section 16 (Disclaimer; Waiver of Damages; Limitation of Liability); Section 17 (Confidentiality); Section 18 (General); and Section 19(f) (Prior Agreements). You shall notify Company in writing (by email to the address in Section 19(e)) within twenty-four (24) hours after becoming aware of any actual or suspected unauthorized access to, use of, retention of, disclosure of, extraction of, scraping of, reconstruction of, or AI or machine learning use of the Data or Derived Data. You shall cooperate with Company in investigating and remediating the incident, including by providing relevant logs, records, systems information, personnel access, and written remediation plans.
  12. Indemnification. Without limiting the Agreement, you assume full and complete responsibility and liability for your use of the Data and for all content linked to, viewable or available on or from your websites or publications. Without limiting the Agreement, you shall indemnify, defend (through counsel selected solely by Company) and hold Company, its affiliates, and its and their respective officers, directors, and employees harmless from and against any and all claims, actions, suits, liabilities, losses, settlements, damages, costs, charges, or attorneys’ fees, including, but not limited to, those for defamation, libel, slander, plagiarism, copyright infringement, obscenity, unauthorized use of a person’s name or likeness, privacy violations, interference with contract, false advertising, consumer fraud, tort, breach of contract, unfair competition and/or violation of any law, regulation or ordinance, arising out of or related to (i) your use of the Data, including in, on, linked to, viewable or available on or from your websites or publications, products, services, systems, tools, models, datasets, databases, outputs, or other offerings, or (ii) your breach of this Agreement, including any unauthorized access to, use of, retention of, disclosure of, extraction of, scraping of, reconstruction of, commercialization of, AI or machine learning use of, or competitive use of the Data or Derived Data, whether by you or by any affiliate, employee, contractor, customer, user, vendor, subcontractor, consultant, AI provider, analytics provider, cloud service provider, or other third party.
  13. Equitable Relief. You acknowledge that any unauthorized access to, use of, retention of, disclosure of, extraction of, scraping of, reconstruction of, commercialization of, AI or machine learning use of, or competitive use of the Data or Derived Data may cause irreparable harm for which monetary damages may be inadequate. Company is entitled to seek temporary, preliminary, and permanent injunctive relief, specific performance, and other equitable relief without posting bond, in addition to any other rights or remedies available at law or in equity.
  14. Non-Assignability. You may not assign or transfer any rights, duties or obligations under this Agreement, and any attempt to do so shall be null and void and a material breach of this Agreement. Company may freely assign or transfer any rights, duties or obligations under this Agreement without your prior written consent.
  15. Governing Law, Jurisdiction and Venue. This Agreement shall be governed by and construed in accordance with the domestic substantive laws of the State of California without giving effect to any choice or conflict of laws provisions or rule that would cause the application of the domestic substantive laws of any other jurisdiction. The parties agree that all disputes that concern or arise out of this Agreement shall be resolved exclusively in the state and federal courts located in Orange County, California, and you consent to the personal jurisdiction and venue of those courts.
  16. Disclaimer; Waiver of Damages; Limitation of Liability. WITHOUT LIMITING ANYTHING IN THE COLLECTORS UNIVERSE USER AGREEMENT AVAILABLE AT https://app.collectors.com/collectorsuseragreement AND WITH WHICH YOU EXPRESSLY ACKNOWLEDGE AND AGREE, YOU AGREE THAT COMPANY HAS MADE NO WARRANTIES TO YOU REGARDING THE DATA AND THAT THE DATA IS BEING PROVIDED TO YOU “AS IS” WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES ABOUT THE DATA, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, MERCHANTABLE QUALITY, OR NON INFRINGEMENT OF THIRD-PARTY RIGHTS. IN NO EVENT SHALL COMPANY, ITS DIVISIONS, AFFILIATES, LICENSORS, EMPLOYEES, DIRECTORS, OFFICERS OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (SUCH AS, BUT NOT LIMITED TO, LOST PROFITS, LOST REVENUE, ANTICIPATED PROFITS, LOST BUSINESS OR ANTICIPATED BUSINESS), EXEMPLARY/PUNITIVE DAMAGES OR ANY OTHER INDIRECT DAMAGES RELATED TO OR ARISING OUT OF THIS AGREEMENT THE RELATIONSHIP OF THE PARTIES TO THIS AGREEMENT, COMPANY’S OBLIGATIONS, PERFORMANCE OF OR FAILURE TO PERFORM ACTS PURSUANT TO THIS AGREEMENT, THE ACCURACY OR RELIABILITY OF THE DATA, YOUR USE OF THE DATA OR ANY THIRD PARTY’S RELIANCE ON THE DATA, EVEN IF YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, REGARDLESS OF WHETHER SUCH LIABILITY ARISES IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES ARE CLAIMED BY (i) YOU, YOUR DIVISIONS, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS OR ASSIGNS, AND/OR (ii) A PERSON OR ENTITY NOT AN EXPRESS PARTY TO THIS AGREEMENT. COMPANY SHALL HAVE NO LIABILITY FOR ANY FINANCIAL DECISIONS YOU MAKE IN CONNECTION WITH YOUR USE OF THE DATA. COMPANY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL NOT EXCEED THE FEES PAID BY YOU UNDER THE APPLICABLE ORDER FORM DURING THE 12 MONTHS BEFORE THE CLAIM AROSE.
  17. Confidentiality. The Data, Derived Data, API credentials, documentation, endpoints, access methods, technical specifications, and Company communications about the Data are Company’s confidential information. You shall protect such information using at least reasonable care and no less care than you use to protect your own confidential information of similar sensitivity. You may not disclose such information except as expressly permitted under this Agreement. This Section does not limit the restrictions in Section 4 or the permitted use limitations in Section 5.
  18. General. You warrant and represent to Company that this Agreement will not contravene any contract, provision of law or any statutes, decree, rule or regulation binding upon you, and that you will comply with all applicable laws, statutes, decrees, rules or regulations in connection with your use of the Data. You further represent and warrant that neither you nor any of your owners is the target of sanctions administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control or any other applicable sanctions authority, that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions, and that you will not use or provide the Data in violation of applicable sanctions or export control laws. Company may suspend your access immediately if it reasonably believes this representation is inaccurate. If any portion, provision or part of this Agreement is held, determined or adjudicated to be invalid, unenforceable or void for any reason whatsoever, each such portion, provision or part shall be severed from the remaining portions or parts of the Agreement and shall not affect the validity or enforceability of such remaining portions, provisions or parts. Subject to Section 19(f), this Agreement is the entire agreement of the parties regarding the Data and supersedes all prior understandings of the parties regarding the Data. In any action or proceeding arising out of or related to the enforcement of Company’s rights in the Data, the payment obligations in Section 3, the restrictions in Section 4, the permitted use limitations in Section 5, the audit rights in Section 8, the deletion and certification obligations in Section 11, the indemnification obligations in Section 12, or the Equitable Relief section, Company is entitled to recover its reasonable attorneys’ fees, expert fees, costs, and expenses if Company is the prevailing party. In the event of an ambiguity in this Agreement or any part of this Agreement, the interpretation of this Agreement shall not be resolved by the rule of interpretation which provides for interpretation against the party who either drafted the Agreement and/or caused the ambiguity to exist. Nothing contained in this Agreement or by the performance or non-performance of acts related to or arising out of this Agreement shall be deemed or construed in any manner whatsoever as creating any partnership, joint venture, employment, agency, fiduciary or other relationship, between You and Company.
  19. Hosted Terms; Order Forms; Updates. (a) Hosted Terms. These Terms are hosted by Company at URL and are incorporated by reference into each Order Form that references them. The Order Form will display the version date of the Terms in effect when you accept it, and Company will retain an archive of each prior version and its version date. The version in effect on the date of acceptance, as updated under Section 19(c), applies. (b) Order Form. Each Order Form identifies the parties, contact information, Effective Date, Term, Call Limit, Fees, and Permitted Display terms applicable to you. If an Order Form conflicts with these Terms, the Order Form controls solely as to those items, and these Terms control in all other respects, except that a Custom Permitted Display is governed by the definition of “Permitted Display.” If these Terms conflict with the Collectors Universe User Agreement or the Privacy Policy, these Terms control as to the Data. (c) Updates. Company may update these Terms by posting a revised version at the URL above with a new version date and sending notice to the contact in the Order Form at least 30 days before the revision takes effect (or on shorter notice if required by law or to address security or abuse), and the date the revision takes effect is the “revision date”. Revised Terms apply to each Order Form entered into or renewed on or after the revision date and, after the notice period, to each existing Order Form, but revised Terms do not change the Fees, Term, or Call Limit stated in an Order Form. Your continued access to or use of the Data after the revision date is acceptance of the revised Terms. If you do not accept the revised Terms, you may terminate by written notice before the revision date, and Company will refund prepaid Fees for the period after termination on a pro rata basis, which is your sole remedy. (d) Electronic Acceptance. By signing or electronically accepting an Order Form, you agree to these Terms, represent that you have authority to bind the party named in the Order Form, and agree that your electronic acceptance is a binding signature. You consent to the use of electronic records and signatures, and agree that Company’s records of your acceptance (including the timestamp, IP address, user identifier, version of these Terms, and the acceptance language presented) are conclusive evidence of acceptance absent manifest error. If you accept an Order Form without authority to bind the named party, you are personally bound by this Agreement. (e) Notices. Notices to you will be sent to the contact information in the Order Form, and you shall keep that information current. Notices to you are effective when sent to the email address in the Order Form or posted in Company’s portal, whether or not you receive them. Notices to Company, including notices under Sections 5, 7, and 11, must be sent by email to legal@collectors.com with a copy by mail to Collectors Universe, Inc., 1600 E. St. Andrew Pl., Santa Ana, CA 92705. (f) Prior Agreements. If you are party to a prior written agreement with Company for the Data (a “Prior Agreement”), this Agreement amends, restates, and supersedes the Prior Agreement as of the Effective Date, except that (i) Fees paid or payable for periods before the Effective Date are not refunded or reduced, (ii) your use, retention, deletion, audit, confidentiality, and indemnification obligations for periods before the Effective Date continue, and (iii) Company’s rights and remedies for any breach before the Effective Date are preserved.
